Terms of Service for The Precedent

Acceptance of Terms: By registering for or using The Precedent’s services, you agree to be bound by these Terms of Service. You must be of legal age and have the authority to accept this agreement. If you do not agree to any provision, or cannot legally enter this agreement, you must not use the platform. You must register for an account to access any services. You agree to provide accurate information and to keep your account credentials secure; you are fully responsible for all activity under your account.

Description of Service: The Precedent is an AI-powered legal research platform for courts of the United States of America. It provides access to AI-generated case summaries, full-text decisions, and related materials through a freemium model: basic use and limited content are free, while premium features and extensive access require a paid subscription. By using the service, you acknowledge that the platform relies on automated technology, including AI, to generate results, overviews and summaries. You agree that your use of the service is subject to these Terms, as well as any posted updates, which we may make by updating this page.

Registration and Freemium Model: You must register and create an account to use The Precedent. Accounts are available under a freemium model: basic access and limited queries are free, but some advanced features (such as unlimited search, AI-powered drafting tools, or specialized content) require paid subscription or credits. Any payment terms will be disclosed on our site. All fees are non-refundable and paid upfront for the subscription term.

User Responsibilities: You are solely responsible for any content you submit to or retrieve from the service. You agree to abide by professional and ethical obligations in your use of research materials. If you post or request legal documents, you warrant that you have the right to do so and that it will not infringe third-party rights. You will indemnify and hold The Precedent and its affiliates harmless from any claim, loss, or liability arising from your violation of these Terms or from your use of the service.

Intellectual Property: The Precedent and its licensors own all intellectual property rights in the platform, software, content, and services. We reserve all rights not expressly granted to you. You may use the service and download or print materials solely for personal, non-commercial legal research. You may not copy, modify, create derivative works from, distribute, or sell any part of the service or its content, except as expressly permitted. If you provide any data or documents to the service (including by uploading documents or submitting queries), you retain ownership of that content, but you grant us a worldwide, royalty-free license to use it to operate and improve the service. You agree that we may store and process your content, and use it (anonymized) to improve our AI and analytics, so long as your confidentiality is respected and no personal data is shared without consent.

The summaries, overviews, and search results generated by The Precedent are for informational purposes only and do not constitute legal advice. The content is derived from publicly available court opinions and is generated or curated using automated tools. While we aim for accuracy and relevance, The Precedent makes no guarantees as to the completeness, correctness, or legal sufficiency of any content provided. Users are strongly encouraged to consult the full case text before relying on any material from The Precedent in legal proceedings, client matters, or academic work. Use of the platform does not create an attorney-client relationship between users and The Precedent or its creators.

Disclaimers and Warranties: The service is provided “AS IS” and “AS AVAILABLE.” To the fullest extent permitted by law, The Precedent makes no warranties, express or implied, about the service. We disclaim all implied warranties of merchantability, fitness for a particular purpose, accuracy, reliability, and non-infringement. We do not guarantee that the service will be uninterrupted, error-free, or free of bugs or viruses. We do not warrant the accuracy or completeness of any content. For example, similar services expressly state that they “disclaim all liability for actions taken or not based on the Content” and that “the Content is provided ‘as is’ without warranty of any kind”. The entire risk of using the service rests with you.

Limitations of Liability: To the maximum extent permitted by law, The Precedent (and its officers, employees, affiliates, and licensors) will not be liable for any special, indirect, incidental, consequential or punitive damages arising out of or related to your use of the service. This includes loss of profit, loss of data, or loss of goodwill, even if we have been advised of the possibility of such damages. We are not responsible for any errors or omissions in content or any delays or interruptions. If applicable law does not allow such limitations, liability will be limited to the greatest extent permitted by law.

Indemnification: You agree to defend, indemnify, and hold The Precedent (and its parent company, affiliates, officers, and employees) harmless from any claims, damages, losses or expenses (including attorneys’ fees) arising from: (a) your use of the service, (b) any content you upload or submit, (c) your violation of these Terms, or (d) your violation of any rights of another party. This obligation survives termination of these Terms.

Termination: The Precedent may immediately suspend or terminate your account and access to the service if you violate these Terms or engage in prohibited conduct. Upon termination, you must cease all use of the service and destroy any copies of content obtained. Any surviving provisions (such as intellectual property ownership, disclaimers, limitation of liability, indemnification, and governing law) will continue to apply after termination. All fees and charges paid are non-refundable.

Governing Law: These Terms and any dispute arising out of them are governed by the laws of Singapore, without regard to conflict-of-law principles. Both you and The Precedent consent to the exclusive jurisdiction and venue of courts located in Singapore for the resolution of any claims.

Changes to Terms: We may modify these Terms at any time. Changes will be posted on our website and, if material, notified via email or through your account portal. Your continued use of The Precedent after such modifications will constitute acceptance of the new Terms.

Entire Agreement: These Terms (along with our Privacy Policy and any supplemental terms) constitute the entire agreement between you and The Precedent regarding the service. If any provision is held invalid, the remainder of the Terms will continue in full force. Waiver of any term or condition in one instance will not be deemed a waiver in other instances.
