Acceptance of Terms
This Terms of Service ("Terms") is a legal agreement between you (the "User") and The Precedent AI Inc. ("The Precedent," "we," "us," or "our"), a Delaware corporation. These Terms govern your access to and use of The Precedent's regulatory intelligence platform, website, and related services (collectively, the "Service"). By creating an account or using the Service, you agree to be bound by these Terms and our Privacy Policy (linked below). If you do not agree with these Terms, you must not use the Service.
If you are using the Service on behalf of an organization, you are agreeing to these Terms for that organization and promising that you have the authority to bind that organization to these Terms. If you have a separate written agreement with The Precedent governing your use of the Service, that agreement will take precedence in the event of a conflict with these Terms.
Eligibility and Account Registration
Legal Professional Use
The Service is intended for use by licensed attorneys and authorized legal or compliance professionals. By registering an account, you represent that you are a legal professional (or acting under the supervision of one) and that you are using the Service for lawful purposes within your professional capacity.
Age and Authority
You must be at least 18 years old and capable of entering into a binding contract. If you are registering on behalf of a company or other entity, you represent that you have the authority to bind that entity to these Terms.
Account Information
When you create an account, you agree to provide accurate, current, and complete information, including your name, a valid business email, and professional details. You will keep this information up-to-date.
Account Security
You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. Do not share your account with others. You must notify us immediately at support@theprecedent.ai if you suspect any unauthorized use of your account or a security breach.
Authorized Users
Each account is meant for a single user or the specific individual authorized under your organization’s subscription. You are responsible for ensuring that all authorized users in your organization comply with these Terms.
Description of Services
The Precedent provides a regulatory intelligence platform that continuously monitors and analyzes legal and regulatory developments to help companies understand which new laws and regulations apply to them and how those changes impact their business in practical terms. Key features of the Service include:

Contextual Monitoring: The platform builds a structured understanding of your company’s products, operations, jurisdictions, and regulatory exposure. Using this context, The Precedent continuously scans millions of legal and regulatory documents (from federal, state, and agency sources) in real time.

Relevance Filtering: When a new law or regulation is introduced or passed, the Service automatically determines if it is relevant to your business. Irrelevant updates are filtered out, reducing noise and alert fatigue for legal and compliance teams.

Actionable Guidance: For each relevant legal or regulatory update, The Precedent provides clear, actionable guidance on how the change affects your specific business.

Proactive Compliance Planning: By translating broad regulatory changes into company-specific intelligence, the Service enables proactive planning and prioritization.

All features of the Service are provided on a subscription basis (paid access). The Precedent does not offer a free tier beyond any trial or demo that we may optionally provide at our discretion.
Fees and Payment
Subscription Fees
Use of the Service requires payment of subscription fees in U.S. dollars.
Billing and Payment
You authorize us to charge your payment method on a recurring basis. Late payments may result in suspension of Service.
No Refunds
All payments are final and non-refundable, except as required by law or explicitly stated otherwise.
Changes in Fees
Fee changes will apply upon renewal or upgrade with advance notice.
Taxes
You are responsible for all applicable taxes, excluding taxes based on our income.
Upgrades and Downgrades
Upgrades may be prorated. Downgrades generally take effect at the end of the current term.
Free Trials
Trials may be modified or terminated at any time.
User Data and Privacy
Personal Information
Our collection and use of personal information is governed by our Privacy Policy.
Company Data and Configuration
You retain ownership of Company Data and grant The Precedent a license to use it solely to provide the Service.

User Responsibilities for Data
You are responsible for ensuring you have rights to all data you provide.
Retention and Deletion

Acceptable Use and Conduct

The Precedent retains all rights to the Service and related materials. You receive a limited license for internal business use only.
No Legal Advice; No Attorney-Client Relationship
The Service provides informational content only and does not constitute legal advice. No attorney-client relationship is created.
Disclaimer of Warranties
The Service is provided "as is" and "as available," without warranties of any kind.
Limitation of Liability
To the maximum extent permitted by law, The Precedent will not be liable for indirect or consequential damages. Total liability is capped as described in these Terms.
Indemnification
You agree to indemnify and hold harmless The Precedent from claims arising out of your use of the Service or violation of these Terms.
Termination and Suspension
You may cancel at any time. We may suspend or terminate access for violations, non-payment, or legal requirements.
Changes to the Service and Terms
We may modify the Service or these Terms with notice. Continued use constitutes acceptance.
Governing Law and Dispute Resolution
These Terms are governed by Delaware law. Disputes are subject to binding arbitration with limited exceptions.
Miscellaneous
These Terms constitute the entire agreement. Standard contractual provisions regarding severability, assignment, force majeure, and notices apply.
